Governing Law and Jurisdiction

Any facilities and/or services offered through this website are strictly for “REF” client’ access. By accessing this website and using the facilities and/or services offered through this website, you agree that State Laws of Texas shall govern such access and the provision of such facilities and/or services and you agree to submit to the exclusive jurisdiction and venue of the federal and state courts of competent jurisdiction located in Collin County, Texas, in any action or proceeding arising out of or related to services provided by REFORUM. Each Party waives any objection to such venue, including any objection based on inconvenient forum.


The Parties agree that, in the event a dispute arises between them, they will attempt, in good faith, to resolve such dispute in an amicable and equitable manner. If the dispute is not resolved through good-faith negotiation within thirty (30) days, the matter shall be submitted to mediation, then binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. Arbitration proceedings shall be held exclusively in Collin County, Texas.


The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The arbitrator shall issue a reasoned award. Costs of arbitration shall be borne equally by the Parties, except that each Party shall bear its own attorneys’ fees, subject to the prevailing party provision below.


Notwithstanding any provision of this Agreement regarding mediation, arbitration, or other dispute resolution procedures, either Party (and in particular the REFORUM) shall have the right to seek temporary, preliminary, or permanent injunctive relief or other equitable remedies from any court of competent jurisdiction in Collin County, Texas, without first submitting to mediation or arbitration, and without the necessity of proving actual damages or posting any bond or other security.


The Parties acknowledge and agree that any breach or threatened breach of the Confidentiality, Intellectual Property provisions of this Agreement would cause irreparable harm to the REFORUM for which monetary damages would be an inadequate remedy.

“REF” may at any time revise these Conditions of Access by updating this version.
